Global Broadband Satellite Access Service

 

As of October 1, 2012, Global Broadband Satellite Access Service is no longer available to new customers.

 

I.          SERVICE DESCRIPTION: Global Broadband Satellite Access Service (GBSA) provides two-way satellite connectivity to Internet IP and the Public Switched Telephone Network (PSTN) via Inmarsat’s Broadband Global Area Network. GBSA offers a worldwide, shared-channel IP packet-switched service of up to 492 Kbps and a streaming-IP service from 32 Kbps up to 256 Kbps, simultaneously supporting IP- and voice circuit-switched applications. Customer must purchase certain Customer Premises Equipment (“CPE” – see below) to use GBSA.

 

            GBSA includes the provision of a terminal (hereinafter referred to as an “EXPLORER Terminal” – “EXPLORER” is a registered trademark of GMPCS Personal Communications, Inc.) equipped with an RJ 11 jack to accept a land line phone and a USB port (or RJ 45) for connectivity to a laptop computer. In order to use GBSA, the user must set up the EXPLORER terminal, then plug in an Ethernet cable and a telephone. Network connectivity is established through a web-based graphical user interface. GBSA includes a telephone instrument provided by GMPCS Personal Communications, Inc. (“GMPCS”) and Internet access service. Although GBSA can carry Voice over IP (VoIP) service, Customers must subscribe to VoIP service independently of GBSA.

 

            Each EXPLORER terminal is equipped to transmit signals over a circuit-switched path to the PSTN or over an IP path to the Internet. When a user logs on to use GBSA, the EXPLORER Terminal sends a signal to the satellite, which receives the signal, reforms the pulse and retransmits the signal to a ground station (also known as earth station) in Amsterdam, the Netherlands. The ground station recognizes and reads the signal, and based on the signal type, sends it to either to the PSTN or to GMPCS’s Internet service provider via a physical IP circuit to the Internet gateway. There are two separate paths for the circuit-switched traffic and IP traffic.

 

II.         DEFINITIONS: In addition to the following, the Online Definitions apply:

 

“SIM” is a subscriber identity module (also called a “smart card”) that contains all subscriber-related data and is inserted into a mobile telephone to facilitate its use.

 

III.        FEATURES AND OPTIONS: All voice and data usage options are set forth in Section IV, below.

 

IV.        RATES AND CHARGES: For each GBSA EXPLORER Terminal, Customer will pay a non-recurring charge (NRC) on Service activation per SIM (non-shared only) or reactivation (i.e., activation of Customer’s SIM following a suspension for any reason) per SIM (shared or non-shared). Customer also will pay monthly recurring charges (MRC), usage charges, and other charges for GBSA, as set forth below based on the GBSA Plan or Package selected. In addition, Customer must purchase certain CPE, as shown below. Billing will commence when the CPE is able to pass data from end to end.

 

1.         Business Basic Service Plan. For this Plan, Customer pays the NRC of $57.50, an MRC of $55.00, plus the appropriate rate for all usage, shown below.

V.         TERMS AND CONDITIONS: In addition to la Online Master Terms - Terms and Conditions of Service, the following apply:

 

1.         Service Commitment. Customer must commit to a one-, two-, or three-year service period (Service Commitment) for each order of GBSA. Customer’s Service Commitment commences on the date GBSA Service is provisioned and the CPE is able to pass data from end to end.

 

2.         Termination by Customer. If Customer terminates GBSA prior to the expiration of a Service Commitment, except for termination for cause, such termination shall not be effective until sixty (60) days after Company receives written notice of termination (the Termination Effective Date); and Customer will pay, within thirty (30) days of Company’s request: (a) all accrued but unpaid charges incurred through the Termination Effective Date; plus (b) an amount equal to the total of the monthly fees remaining in the first year of the Service Commitment, if any; plus (c) an amount equal to 75% of the MRCs for the balance of the committed Service Commitment after the first year of the Service Commitment, if applicable; plus (d) a pro rata portion of any and all credits received by Customer, provided that, in no event will Customer’s total termination liability exceed the full contract value of the terminated GBSA.

 

3.         U.S. Entity. Customer represents and warrants that it is a U.S. citizen or permanent resident, or a corporation organized under the laws of one or more of the United States of America.

 

4.         Parties. Provisions of this Guide that limit Company’s liability and disclaim warranties with respect to GBSA also limit the liability and disclaim warranties of GMPCS, Inmarsat, PLC, and any other third-party entity which provides certain components of GBSA – and their affiliates, directors, officers, employees or agents.

 

5          Authorized Access. Customer agrees to take all reasonable steps to ensure that no persons not authorized by Customer will have access to GBSA and that all authorized persons having access to GBSA are aware of and will comply with the terms and conditions of its use as set forth herein.

 

6.         No Resale. GBSA is made available only for Customer (including its employees and others authorized to use GBSA from time to time under the supervision of Customer.) Except as otherwise explicitly stated herein, Customer will not sell, rent, lease, transfer, resell, sublicense or otherwise distribute GBSA to any other person or entity.

 

7.         Termination of Service by Company. Customer understands that, currently, usage of GBSA within the United States is pursuant to an FCC grant of temporary authority that may be terminated or modified at any time without prior notice to GMPCS, Company or Customer. Company may terminate or modify GBSA immediately with or without notice based on any such FCC action. In addition, Company may terminate GBSA immediately with or without notice if Customer’s use or proposed use of GBSA is or would be (i) capable of damaging CPE or the network underlying GBSA, (ii) inconsistent with or contrary to any of the terms herein, or (iii) inconsistent with or contrary to applicable law, regulation, order or other authority.

 

8.         Subcontractors. Company reserves the right to use subcontractors or any other third parties to fulfill its obligations under Company’s GBSA contract with Customer, provided that Company shall be fully responsible for such subcontractors and third parties in accordance with the terms of such contract and this Guide.

 

9.         Lawful Use and Export Compliance. Customer agrees to use GBSA for lawful purposes only and in compliance with all applicable laws, rules and regulations. Customer will take title to and possession of the CPE in the United States. Customer acknowledges that the export, import and use of certain hardware, software and technical data provided as a part of GBSA are regulated by the United States government, other governments and international agreements. Customer shall not export, import, re-export, transfer or otherwise divert any such hardware, software and technical data, or any direct products thereof, in violation of any applicable laws and regulations. Customer further agrees to obtain all licenses, permits and approvals that may be required by any governmental authorities for the use of such equipment, software, and technical data.

 

10.       Limitation. Neither Company nor any of its vendors are liable to Customer or any end user for (i) any damage or loss resulting from any voice traffic or data content that passes through GBSA to or from Customer or any end users; (ii) any damage or loss resulting from the access of Company or any of its vendors to such traffic or content for purposes of providing GBSA; or (iii) any delay or inability of Customer to receive or send voice traffic or data due to the operation of GBSA.

 

11.       Indemnification. Customer agrees to indemnify, defend, and hold harmless Company from and against any losses, liabilities, damages, costs or expenses (including, without limitation, reasonable attorney’s fees and allocable cost of in-house counsel) resulting from any third-party claim or allegation arising out of or relating to Customer’s use of GBSA or failure to comply with the terms herein and any applicable service agreement; provided that this indemnity does not apply to actual, direct damages to real property or tangible personal property or for personal injury or death, proximately resulting from Company’s negligence or willful misconduct.
