On-Net Voice Services Optional Calling Plans
The following provisions apply to Customers who subscribe to Long Distance Voice Services under On-Net Voice Services only. These plans are available to Feature Option 1 Customers only.

I. LD and Local Online Calling Plan: This plan is not available to new Customers.
II. Partner Marketing Program: Members of the Partner Marketing Program will be eligible to receive discounts on Long Distance Voice Services Feature Option A. These discounts will be applied prior to all other discounts and will only apply to new service agreements signed by the Customer with a higher commitment level than service agreements for existing Company Customers. A 2 percent discount will be applied to interstate voice rates and a 4 percent discount will be applied to private line and frame relay rates. An additional 1 percent discount will be applied to the applicable per-minute rates for interstate Outbound Service and Inbound Service usage under Special Customer Arrangement (SCA) Type 4. In addition, the Customer can receive a waiver on the local feature package in connection with this program that is based on the local recurring charge and applied to the Customers interstate usage.
III. D Street Voice Service Calling Plan
1. The following provisions apply to Customers who subscribe to the plan after October 17, 2002.
1.1 Eligibility: To be eligible for this plan, customers:
· must subscribe to this plan via a Company-designated Internet site;
· may subscribe to Long Distance Voice Services Feature Option A only;
· may not receive any discounts or the benefits of any promotional offering, excluding D Street Free Month Promotion;
· may not receive service under any other term plan, including but not limited to Access Term Discount Plan, any other Optional Calling Plan, other than LD and Local Online Calling Plan, and Term Plan;
· must pay a rate that is described as a non-residential, commercial, or business rate in the applicable local exchange service tariff for switched service; and,
· may not receive service under a Special Customer Arrangement.
1.2 Definitions: For purposes of this plan, the following definitions apply:
Switched includes Local Network Connection.
1.3 Usage Charges:
1.3.1 Domestic Charges
The following per-minute rates apply to Outbound Service, Calling Card and Inbound Service usage:
1.3.1.1 Outbound Service: The Customer will be charged the following per-minute rates, based on origination type, for (i) outbound usage from the U.S. Mainland and Hawaii to the U.S. Mainland, Alaska, Puerto Rico, the U.S. Virgin Islands, American Samoa, Guam and CNMI or from the U.S. Mainland to Hawaii and (ii) Calling Card usage from the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam and CNMI to the U.S. Mainland, Alaska, Hawaii, Puerto Rico, the U.S. Virgin Islands, American Samoa, Guam and CNMI:

Customers who subscribe to Inbound Service which terminates via dedicated access will be charged a$50 monthly recurring charge plus a $50 monthly recurring charge per each trunk associated with such service.
1.4.2 Features:
Toll Free Premium: The Customer may subscribe to Toll Free Premium, which is comprised of the following:
· Day of Week Routing
· Point of Call Routing
· Tailored Call Coverage
· Time of Day Routing
Monthly Recurring Charge per ANI $20.00
Non-Recurring Charge 0.00
Change Charge: 50.00
1.5 Other Charges: The Company will waive the Customers Non-Recurring Charges.
1.6 Other Conditions:
1.6.1 Billing: Customers will receive both Electronic Billing and paper copies of invoices for invoices dated during the months of October, November and December, 2002. Beginning with invoices dated during January 2003, Customers will receive Electronic Billing invoicing only.
2. The following provisions apply to Customers who subscribe to the plan prior to October 18, 2002.
2.1 Eligibility: To be eligible for this plan, customers:
· must subscribe to this plan via a Company‑designated Internet site;
· may subscribe to Long Distance Voice Services Feature Option A only;
· may not receive any discounts or the benefits of any promotional offering, excluding D Street Free Month Promotion;
· may not receive service under any other term plan, including but not limited to Access Term Discount Plan, any other Optional Calling Plan, other than LD and Local Online Calling Plan, and Term Plan;
· must pay a rate that is described as a non-residential, commercial, or business rate in the applicable local exchange service tariff for switched service; and,
· may not receive service under a Special Customer Arrangement.
2.2 Definitions: For purposes of this plan, the following definitions apply:
Switched includes Local Network Connection.
2.3 Term and Volume Commitment: Customers who subscribe under this plan to Outbound Service which originates via dedicated facilities must commit to a term of service of one year and use of Outbound Service which originates via dedicated facilities which equals or exceeds $100 in each monthly period of the term of service.
2.4 Usage Charges:
The following per-minute rates apply to Outbound Service, Calling Card (referred to as Card in pricing tables) and Inbound Service usage:
2.4.1.1 Outbound Service: The Customer will be charged the following per-minute rates, based on origination and termination type, for (i) outbound usage from the U.S. Mainland and Hawaii to the U.S. Mainland, Alaska, Puerto Rico, the U.S. Virgin Islands, American Samoa, Guam and CNMI or from the U.S. Mainland to Hawaii and (ii) Calling Card usage from the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam and CNMI to the U.S. Mainland, Alaska, Hawaii, Puerto Rico, the U.S. Virgin Islands, American Samoa, Guam and CNMI:

2.6 Other Charges: The Company will waive the Customers Non-Recurring Charges.
2.7 Other Conditions:
2.7.1 Underutilization: In each monthly period of the term of service in which a Customer fails to satisfy the volume commitment set forth in Section 3 of this Plan, the Customer will be billed and required to pay a charge in an amount equal to the difference between the Customers use of Outbound Service which originates via dedicated facilities in that monthly period and $100.
2.7.2 Billing: Customers will receive both Electronic Billing and paper copies of invoices for invoices dated during the months of October, November and December, 2002. Beginning with invoices dated during January 2003, Customers will receive Electronic Billing invoicing only.
IV. Video Conferencing Term Plan
1. Eligibility: Beginning March 1, 2004, service under this plan is not available to new customers of the plan.
2. Term Commitment: Customers must commit to a term of service of one year. Upon expiration of a Customers term of service, service shall continue under this plan for a term of service equal to the expired term unless the Customer provides the Company notice of termination of service under the plan at least 60 days prior to the expiration of the term of service.
3. Volume Commitment: A Customer may elect a Video Conferencing Term Plan annual volume commitment of one of the following amounts: $6,000, $12,000, $24,000, $30,000, $60,000, $90,000 and $120,000. The Customer's annual Audio Conferencing usage must equal or exceed its volume commitment.
4. Usage Charges: The following charges apply, in lieu of all other rates.
4.1.1 Conferencing Calling: The Customer will be charged the following per-minute per-bridge port rates, based on annual volume commitment, Service Level and access method, for: Conferencing Calling, excluding Instant Meeting Service, usage within the U.S. Mainland, Alaska and Hawaii, in lieu of all other rates; and, at the Unattended Service Level for Instant Meeting Service usage from the U.S. Mainland, Alaska, Hawaii and the U.S. Virgin Islands to the U.S. Mainland, Alaska, Hawaii, Puerto Rico and the U.S. Virgin Islands:

1. Eligibility: To be eligible for this program, the Customer:
· must subscribe to this program through a Company-designated agent;
· may not receive any discounts or the benefits of any promotional offering;
· may not receive service under any other term plan; and,
· must subscribe to exchange service provided by a Company affiliate.
2. Term Commitment and Renewal Options: The Customer must commit to service for a term of either one or two years (Initial Term). The term of service will automatically renew on a month-to-month basis (Extended Term) upon expiration of its Initial Term and Extended Term(s), unless either the Customer or the Company provides written notification to terminate the term, which must be received by the other party no more than 60 days prior to the expiration of the existing term.
3. Usage Charges: The following per-minute rates apply during each monthly period of a Customers term of service.
3.2 International Usage Charges: The Customer will be charged the following per-minute rates for Outbound Service (including Calling Card) usage which originates via Local Network Connection in the U.S. Mainland, Hawaii and the U.S. Virgin Islands and terminates in the following international locations:

4. Credits:
4.1 The Company will waive the one-time installation charges and other one-time, non-recurring, standard charges associated with the implementation of T-1 Digital Access ordered during the Initial Term.
4.2 During each monthly period of the term of service, the Customer will receive a credit applied against interstate usage equal to 10 percent of the standard tariffed monthly recurring charge and usage rates in effect for the Customers exchange service provided by the Company or Company affiliate.
5. Classifications, Practices and Regulations:
5.1 Termination: Either the Customer or the Company may terminate this program for Cause. For purposes of this program only: (i) as to payment of invoices, "Cause" shall mean the Customer's failure to pay any invoice within 30 days after the date of the invoice; and, (ii) for all other matters, "Cause" shall mean a breach by the other party of any material provision of this program, provided that written notice of the breach has been given to the breaching party, and the breach has not been cured within 30 days after delivery of such notice.
VII. Local and Long Distance Service Plus/Local and Long Distance Trunk Solution/Local and Long Distance Line Solution II
1. Eligibility: To be eligible for this plan, Customers:
· must designate a Company affiliate as its exchange service carrier and intrastate calling and as its carrier for intraLATA toll calling;
· must subscribe both to certain intrastate service as described in the appropriate intrastate Company or Company-affiliate tariff or other appropriate governing document ("Companion Intrastate Service") and to certain exchange service as described in the appropriate Company-affiliate exchange service tariff or other appropriate governing document ("Companion Local Service") concurrent with enrollment in this plan;
· may not receive any discounts or the benefits of any promotional offering;
· must subscribe to service under Special Customer Arrangements (SCA) Guide Types 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11 or 12.
The Company may cancel a Customers service and Customer accounts, without incurring any liability, immediately, and without notice, if the Customer fails to satisfy the following conditions. The Customer may not:
· subscribe to service under this plan for more than 30 lines or 24 trunks per Customer location;
· use auto-dialers or any similar type of device in connection with service under this plan; and,
· use service under this plan in a call center environment or in connection with any similar such application.
2. Definitions: For the purposes of this plan, the following definitions apply:
Eligible Intrastate Service: Long Distance Voice Services Feature Option A Outbound Service (excluding Calling Card) usage that originates and terminates in one state as set forth in the Companion Intrastate Tariffs or other appropriate governing documents.
Eligible Interstate Usage: Long Distance Voice Services Feature Option A Outbound Service (excluding Calling Card) usage that originates in the U.S. Mainland and Hawaii and terminates in the U.S. Mainland, Alaska, Hawaii, Puerto Rico, the U.S Virgin Islands, American Samoa, Guam, and CNMI.
Existing Customers: Customers who, at the time of subscription to the plan, are receiving service under this Guide and the tariff or other appropriate governing document containing the Companion Intrastate Service.
New Customers: Customers who, at the time of subscription to the plan, are not receiving service under this Guide and the tariff or other appropriate governing document containing the Companion Intrastate Service.
3. Monthly Recurring Charges:
A monthly recurring charge will apply for each Offering under this plan. The monthly recurring charge is in lieu of the rates and charges as set forth in SCA Guide Types 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11 and 12 for services eligible for this plan. This charge is identical to, and shall not be in addition to, any monthly recurring charge applicable to Companion Intrastate Service and Companion Local Service as described in the applicable Company state tariff, if any, or if not in the state tariff, in the intrastate portion of the Guide. Offering A is available on a per-Local Line basis, Offering B is available on a per-Local Trunk basis and Offering C is available on a per-Local T-1 or per-ISDN-PRI basis. 4. Benefits: Customers will receive the following benefits on in lieu of the benefits set forth in SCA Guide Types 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11 and 12 for service provided under this plan.
4.1 Offering A: Upon installation of interstate service and Companion Local Service, the Customer will receive unlimited Eligible Interstate Usage, Eligible Intrastate Service usage and unlimited exchange service usage as described in the Companion Intrastate Service tariffs and Companion Local Service tariffs or other appropriate governing documents.
4.2 Offering B and Offering C: Upon installation of interstate service and Companion Local Service, a Customer who subscribes to Offering B or Offering C will receive an allotment of 1,250 minutes per monthly period per local trunk subscribed to under this offering that may be used for (i) Eligible Interstate Usage and (ii) Eligible Intrastate Service as described in the Companion Intrastate Service tariff in that monthly period. Customers whose usage exceeds this allotment in any monthly period will be charged $0.05 per minute for Eligible Interstate Usage that exceeds this allotment (Overage Usage Charge). When a call under this offering begins prior to the completion of Customer's monthly allotment and ends after completion of the allotment, the Customer will be charged $0.05 per minute for Eligible Interstate Usage for the portion of the call after completion of the allotment. For Customers enrolling in this plan after the first day of a billing cycle, whose allotment begins after the first day of a billing cycle or whose enrollment in this plan ends before the last day of the billing cycle, the allotment will be pro-rated for that billing cycle. The portion of a Customers allotment that is not exhausted at the end of a monthly billing period will not carry over to the next month.
The Customer will receive unlimited exchange service usage as described in the Companion Local Service tariffs or other appropriate governing document.
5. Other Benefits and Discounts: Discounts are identical to, and shall not be in addition to, any discounts applicable to Companion Intrastate Service and Companion Local Service. The following discounts are in lieu of all other discounts.
5.1 A Customer who subscribes to Offerings A or B and commits to a new term of service of two or more years under this plan will receive: (i) a 5 percent discount on monthly recurring plan, optional feature and feature package charges; and, (ii) an additional 10 percent discount on monthly recurring plan, optional feature and feature package charges if the Customer demonstrates to the Companys reasonable satisfaction that the Customer will accept another carriers offer in absence of any further inducement.
5.2 A Customer who subscribes to Offering C and demonstrates to the Companys reasonable satisfaction that it will accept another exchange carriers offer in absence of any further inducement will receive the following discounts on monthly recurring plan, optional feature and feature package charges, based on the Customers term of service under this plan:

5.3 Customers who subscribe to domestic Long Distance Voice Services under SCA Guide Types 6, 7, 8 and 9 will receive the discounts set forth in the SCA for domestic Long Distance Voice Services on Overage Usage charges.
6. Termination of Service:
6.1 The following provisions will apply to Customers who terminate service, continue to maintain a Company account, and do not subscribe to other service offerings under this Guide:
For existing Customers who disconnect Companion Local Service only, plan service and Companion Intrastate Service will terminate and the Customer will be automatically re-subscribed to the service offerings to which the Customer subscribed at the time of subscription to this plan under this Guide and the Companion Intrastate Service tariff.
For existing Customers who disconnect Companion Local Service and Companion Intrastate Service, plan service and Companion Intrastate Service will terminate and the Customer will then be automatically re-subscribed to the service offering under this Guide to which the Customer subscribed at the time of subscription to this plan.
For new Customers who disconnect Companion Local Service only, plan service and Companion Intrastate Service will terminate and the Customer will be automatically subscribed to Long Distance Voice Services Feature Option A under this Guide and MCI WorldCom On-Net Service-Voice under the Companion Intrastate Service tariff.
For new Customers who disconnect Companion Local Service and Companion Intrastate Service, plan service and Companion Intrastate Service will terminate and the Customer will be automatically subscribed to Long Distance Voice Services Feature Option A under this Guide and MCI WorldCom On-Net Service-Voice under the Companion Intrastate Service tariff for intraLATA intrastate service only.
7. Other Conditions:
7.1 Billing: Customers subscribing to service under this plan via a Company-designated Internet site will receive Electronic Billing invoicing only.
7.2 Customers subscribing to this plan may not receive the benefits of any other discounts, including term plan discounts, or promotions.
1. Qualified Commercial Affinity Group: A Qualified Commercial Affinity Group is defined as a trade association representing business entities or individuals within an industry, professional or business classification, or a commercial organization with affiliated franchisees, independent agents, independent distributors, businesses in common or other multiple commercial representatives or a buying group not organized for the purpose of qualifying for the discounts provided herein, which agrees to meet a defined set of criteria within 12 months of undertaking to qualify and thereafter maintain them, and enters into an agreement with the Company for the marketing of the Company's services. The Group must achieve and maintain aggregate billings, exclusive of FUSF and CAC charges, Public Payphone and Restricted Line Surcharges, promotional credits, surcharges, and taxes. The following optional calling plans are available:
1.1 Affinity Program 1:
1.1.1 Monthly Recurring Charges: A $3.95 monthly recurring charge applies.
1.1.2 Per-Minute Usage Charges: Worldwide Access which terminates in domestic locations will be billed in 30-second initial increments and 6-second additional increments. Worldwide Access which terminates in international locations will be billed in 60-second increments.
1.1.2.1 Domestic: A $0.49 per minute charge applies to: Outbound Service usage which originates in the U.S. Mainland and Hawaii via Switched access and terminates in the U.S. Mainland, Alaska, Puerto Rico, the U.S. Virgin Islands, American Samoa, Guam, CNMI or originates in the U.S. Mainland via Switched access and terminates in Hawaii; Calling Card usage which originates in the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam, CNMI and terminates in the U.S. Mainland, Alaska, Hawaii, Puerto Rico, the U.S. Virgin Islands, American Samoa, Guam, CNMI; and, Inbound Service usage which originates in the U.S. Mainland, Hawaii and Puerto Rico and terminates via Switched Access in the U.S. Mainland, Alaska, American Samoa, Guam, CNMI, and the U.S. Virgin Islands or originates in the U.S. Mainland to and terminates via Switched Access in Hawaii.
1.1.2.2 International: The following per-minute usage charges apply to: Outbound Service usage which originates in the U.S. Mainland, Hawaii and the U.S. Virgin Islands and terminates in the following international locations; Calling Card (excluding Worldwide Access) usage which originates in the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam and CNMI and terminates in the following international locations; and, Inbound Service usage which originates in the following international locations and terminates in the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam and CNMI:

1.1.3.1 The Company will waive the monthly recurring service fee per service group for Switched WATS Termination and Business Line Termination.

1.2.1.2 International: The following per-minute usage charges apply to: Outbound Service usage which originates in the U.S. Mainland, Hawaii and the U.S. Virgin Islands and terminates in the following international locations; Calling Card (excluding Worldwide Access) usage which originates in the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam and CNMI and terminates in the following international locations; and, Inbound Service usage which originates in the following international locations and terminates in the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, American Samoa, Guam and CNMI:
1.2.2 Credits:
1.2.2.1 The Company will waive the monthly recurring service fee per service group for Switched WATS Termination and Business Line Termination.
IX. Local and Long Distance-Line Solution
1. Eligibility: To be eligible for this plan, the Customer:
· must designate the Company as its exchange service and intrastate telecommunications service carrier;
· must subscribe both to certain intrastate service as described in the appropriate intrastate Company tariff or other appropriate governing document ("Companion Intrastate Service") and to certain exchange service as described in the appropriate Company exchange service tariff or other appropriate governing document ("Companion Local Service") concurrent with enrollment in this plan;
· must subscribe to service under Special Customer Arrangements (SCA) Guide Types 2, 3, 4, 5, 6, 7, 8, 9, or 10, and,
· may not receive any discounts or the benefits of any promotional offering.
The Company may cancel a Customers service and Customer accounts, without incurring any liability, immediately, and without notice, if the Customer fails to satisfy the following conditions. The Customer may not:
· subscribe to service under this plan for more than 30 lines per Customer location;
· use auto-dialers or any similar type of device in connection with service under this plan; and,
· use service under this plan in a call center environment or in connection with any similar such application.
2. Definitions: For the purposes of this plan, the following definitions apply:
Eligible Intrastate Service: Long Distance Voice Services Feature Option A Outbound Service (excluding Calling Card) usage that originates and terminates in one state as set forth in the Companion Intrastate Tariffs or other appropriate governing documents.
Eligible Interstate Usage: Long Distance Voice Services Feature Option A Outbound Service (excluding Calling Card) usage that originates in the U.S. Mainland and Hawaii and terminates in the U.S. Mainland, Alaska, Hawaii, Puerto Rico, the U.S Virgin Islands, American Samoa, Guam, and CNMI.
Existing Customers: Customers who, at the time of subscription to the plan, are receiving service under this Guide and the tariff or other appropriate governing document containing the Companion Intrastate Service.
Local Line: A single, voice-grade communications channel, including an Automatic Number Identification (ANI.)
New Customers: Customers who, at the time of subscription to the plan, are not receiving service under this Guide and the tariff or other appropriate governing document containing the Companion Intrastate Service.

This charge is identical to, and shall not be in addition to, any monthly recurring charge applicable to Companion Intrastate Service and Companion Local Service.
5. Benefits: Customers will receive the following benefits in lieu of the benefits set forth in SCA Guide Types 2, 3, 4, 5, 6, 7, 8, 9, and 10 for service provided under this plan:

6.1 Customers who, upon plan enrollment, commit to a new term of service for Company service which equals or exceeds two years for service under this plan will receive a 5 percent discount on monthly recurring charges for this plan and Services optional feature and feature package charges.
7. Termination of Service: The following provisions will apply to Customers who terminate service, continue to maintain a Company account, and do not subscribe to other service offerings under this Guide:
For existing Customers who disconnect Companion Local Service only, plan service and Companion Intrastate Service will terminate and the Customer will be automatically re-subscribed to the service offerings to which the Customer subscribed at the time of subscription to this plan under this Guide and the Companion Intrastate Service tariff.
For existing Customers who disconnect Companion Local Service and Companion Intrastate Service, plan service and Companion Intrastate Service will terminate and the Customer will then be automatically re-subscribed to the service offering under this Guide to which the Customer subscribed at the time of subscription to this plan.
For new Customers who disconnect Companion Local Service only, plan service and Companion Intrastate Service will terminate and the Customer will be automatically subscribed to Long Distance Voice Services Feature Option A under this Guide and MCI WorldCom On-Net Service-Voice under the Companion Intrastate Service tariff.
For new Customers who disconnect Companion Local Service and Companion Intrastate Service, plan service and Companion Intrastate Service will terminate and the Customer will be automatically subscribed to Long Distance Voice Services Feature Option A under this Guide and MCI WorldCom On-Net Service-Voice under the Companion Intrastate Service tariff for intraLATA intrastate service only.
8. Other Conditions:
8.1 Billing: Customers subscribing to service under this plan via a Company-designated Internet site will receive Electronic Billing invoicing only.
